This is a legal agreement between you, the online service subscriber, and ID Alarm Inc. Please read it carefully before using the Service. If you do not agree to the terms of this Agreement, DO NOT USE THIS ONLINE SERVICE.

1. DEFINITIONS
As used in this Agreement, "Service" means the consumer-specific ID Alarm system. "Subscriber" means any individual(s) purchasing and being approved, or who has purchased and been approved, for a licence from ID Alarm Inc. to use the Service and has a username and password to gain access to the Service. "Participating Verifier" means an organization that uses the ID Alarm system to notify holders of personal identification documents of the use of their ID by the Participating Verifier. "Third Party Licensors" means any party that has licensed to ID Alarm Inc. the right to include its proprietary computer programs or data in ID Alarm Inc.'s software or data products that are used in providing the Service. "Customer Registration Forms" refers to the online forms that a prospective Subscriber must complete in order to purchase the Service and become a Subscriber. "Subscription Period" means the period of time during which Subscriber will have access to the Service. Where used herein the term "You", "you" or "your" shall refer to the Subscriber.

2. INTELLECTUAL PROPERTY
The materials displayed on or contained within this Site including without limitation all software, design, text, editorial materials, informational text, photographs, illustrations, artwork and other graphic materials, names, logos and trade-marks (the "Materials"), are the property of ID Alarm Inc. or its licensors and are protected by copyright, trade-mark and other intellectual property laws. The ID Alarm name, design, logos and related marks are trade-marks of ID Alarm Inc., all rights reserved. You agree not to produce, reproduce, republish, modify, create derivative works from, display, perform, translate, distribute, adapt, broadcast, communicate to the public by telecommunication or circulate any Materials to any third party (including, without limitation, the display and distribution of Materials via a third party website) without express prior written consent of ID Alarm Inc. Use of Materials is only permitted with the express written permission of ID Alarm Inc. and/or its licensors. You further agree that you will not disassemble, decompile, reverse engineer or otherwise modify the Materials. This provision shall survive the termination of your right to use this Site.

3. YOUR OBLIGATIONS
Your use of this Site will be in compliance with all applicable laws and regulations. You will not: (a) omit, delete, forge or misrepresent transmission information, including headers, return mailing and Internet protocol addresses, or otherwise manipulate identifiers to disguise the origin of any content; (b) impersonate any individual or entity, or falsely state or otherwise misrepresent an affiliation with any individual or entity; (c) engage in any activities intended to withhold or cloak identity or contact information; (d) send harassing and/or threatening messages to others; (e) engage in any Internet activities that would violate the privacy rights of others, including but not limited to, collecting, using and disclosing information about Internet users without their permission, except as permitted by applicable law; (f) post, disseminate or transmit any worm, viruses or other harmful, disruptive or destructive files, code or programs on this Site; (g) disrupt the normal flow on this Site or otherwise act in a manner that negatively affects other users' ability to use this Site; (h) interfere with, disrupt, or harm in any way the servers or networks connected to this Site; (i) use this Site or the Third Party Services to access the accounts of others without permission; (k) attempt to penetrate security measures of this Site; or (l) engage in denial of service attacks, or take actions designed to impair network access by flooding a site or the Internet with useless traffic.

You acknowledge and agree that you are solely responsible for your account and the security of your password relating to such account and that you will not disclose it to any third parties. In addition, you will promptly advise ID Alarm Inc. of any loss off, compromise of, or unauthorized use of your password. This provision shall survive the termination of your right to use this Site.

4. TERM AND TERMINATION
The term of a monthly, 1 year, 2 year, or 3 year subscription is one month, one year, two years or three years respectively from the purchase date, exclusive of any free trial period.

This agreement and access to this database may be terminated at any time by you or by ID Alarm Inc. You may terminate this agreement by following the appropriate link on our Site. If you terminate this agreement within any free trial period, you will have no further obligation to ID Alarm Inc. If you do not terminate this agreement within any free trial period you will be billed the subscription fee applicable to the subscription period you have chosen. If you do not terminate this agreement prior to the end of the initial or any subsequent term, the agreement shall be automatically renewed at the end of the subscription period on the same terms and conditions, and at the rate in effect at the time of renewal, until such time as you notify ID Alarm Inc. of termination. This provision shall survive the termination of your right to use this Site.

Upon termination, subscribers that have contracted for a 1 year, 2 year or 3 year subscription will receive a net refund based on the subscription fee less the number of full and part months of service, exclusive of any free trial period, billed at the monthly subscription rate in effect at the time of purchase. No refund shall be issued when the number of months of service billed at the said monthly rate exceeds the subscription fee.

You understand and agree that cancellation of your Subscription and the refund as described above, are your sole rights and remedies with respect to any dispute. Upon termination or expiration of the Subscription, you must discontinue all use of the Service. If you fail to comply with any provision of the Agreement at any time, you will be in default and termination of the Subscription will be automatic, without notice and without refund from ID Alarm Inc., and without recourse to any judicial authority. Upon termination by ID Alarm Inc. for Subscriber default, you must cease all use of the Service. ID Alarm Inc. may also seek any other legal and equitable remedies it deems necessary.

5. TRANSFER
You may not rent, loan, sell, or otherwise transfer your ID Alarm account to any other individual or company. The license is exclusively granted to the Subscriber(s) represented during the Registration process.

6. DISCLAIMER OF WARRANTIES
THIS SITE, ITS CONTENTS, AND ANY SOFTWARE, PRODUCTS AND SERVICES OFFERED OR CONTAINED HEREIN ARE PROVIDED ON AN "AS IS" BASIS AND ON AN "AS AVAILABLE" BASIS. ID ALARM INC. MAKES NO REPRESENTATIONS, WARRANTIES, GUARANTEES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, ARISING FROM STATUTE, COURSE OF DEALING, USAGE OF TRADE OR OTHERWISE, WITH RESPECT TO THIS SITE, ITS CONTENTS, OR SUCH SOFTWARE, LINKS, TOOLS, PRODUCTS AND SERVICES OFFERED OR CONTAINED HEREIN, AND DISCLAIMS ALL SUCH REPRESENTATIONS, WARRANTIES, GUARANTEES AND CONDITIONS, INCLUDING WITHOUT LIMITATION, REPRESENTATIONS, WARRANTIES, GUARANTEES AND CONDITIONS OF MERCHANTABLE QUALITY, QUALITY OR FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OF THIRD PARTY RIGHTS, ERROR-FREE OR UNINTERRUPTED SERVICE, ACCURACY, AVAILABILITY, RELIABILITY, SECURITY, CURRENCY AND COMPLETENESS ARISING FROM OR RELATING TO THIS SITE, ITS CONTENT OR ANY LINKS, ANY SOFTWARE, TOOLS, PRODUCTS OR SERVICES PROVIDED THROUGH THIS SITE. IN ADDITION, ID ALARM INC. DOES NOT PROVIDE ANY REPRESENTATION, WARRANTY, GUARANTEE OR CONDITION THAT THE INFORMATION ACCESSIBLE VIA THIS SITE IS ACCURATE, COMPLETE OR CURRENT. ALL REPRESENTATIONS, WARRANTIES, GUARANTEES AND CONDITIONS ARE HEREBY DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAWS. THIS PROVISION SHALL SURVIVE THE TERMINATION OF YOUR RIGHT TO USE THIS SITE.

7. LIMITATION OF LIABILITY
IN NO EVENT SHALL ID ALARM INC. AND ANY OF ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS OR OTHER REPRESENTATIVES BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR AGGRAVATED DAMAGES (INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF DATA, INCOME OR PROFIT, LOSS OF OR DAMAGE TO PROPERTY AND THIRD PARTY CLAIMS) OR ANY OTHER DAMAGES OF ANY KIND, ARISING OUT OF OR IN CONNECTION WITH: THIS SITE; ANY MATERIALS, INFORMATION, QUALIFICATION AND RECOMMENDATIONS APPEARING ON THIS SITE; ANY SOFTWARE, TOOLS, PRODUCTS, OR SERVICES OFFERED THROUGH, CONTAINED IN OR ADVERTISED ON THIS SITE; ANY LINK PROVIDED ON THIS SITE; AND YOUR ACCOUNT AND PASSWORD, WHETHER OR NOT ID ALARM INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS EXCLUSION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. THIS PROVISION SHALL SURVIVE THE TERMINATION OF YOUR RIGHT TO USE THIS SITE. YOU ACKNOWLEDGE THAT YOU WILL BE FULLY LIABLE FOR ALL DAMAGES RESULTING DIRECTLY OR INDIRECTLY FROM YOUR USE OF THIS SITE. THIS PROVISION SHALL SURVIVE THE TERMINATION OF YOUR RIGHT TO USE THIS SITE.

8. INDEMNIFICATION
You agree to indemnify and hold harmless ID Alarm Inc. and its directors, officers, employees, agents or other representatives from and against all claims, liability and expenses, including all legal fees and costs arising from or relating to (a) your breach of these Terms and Conditions of Use; and (b) your use of this Site. This provision shall survive the termination of your right to use this Site.

9. WAIVER
No failure by ID Alarm Inc. or you to exercise any rights, powers or remedies hereunder or its delay to do so shall constitute a waiver of these rights, powers or remedies. The single or partial exercise of a right, power or remedy shall not prevent its subsequent exercise or the exercise of any other right, power or remedy. This provision shall survive the termination of your right to use this Site.

10. SEVERABILITY
If any provision of this License or part thereof is found to be illegal, invalid or unenforceable by a court of law of any competent jurisdiction, the illegality, invalidity or unenforceability of that provision will not affect the legality, validity or enforceability of the remainder of the provision or the remaining provisions of this Agreement, as the case may be, or the legality, validity or enforceability of that provision or part thereof in any other jurisdiction. This provision shall survive the termination of your right to use this Site.

11. VARIATIONS
This License represents the entire agreement between the Licensor and the Licensee concerning the Licensed Material. The terms of this License supersede all prior purchase orders, written terms and conditions, written or verbal representations, advertising or statements relating in any way to the Licensed Material. This License may only be varied in writing by means of variation signed in writing by both parties.

12. PRIVACY POLICY AND CONSENT TO USE OF PERSONAL INFORMATION
The use of the your personal information by ID Alarm Inc. shall be in accordance with our Privacy Policy as posted on our Site. In addition, you expressly consent to the transmission of your emergency contact numbers and ID status reports by ID Alarm Inc. to participating verifiers and ID issuers as required by the Service.

13. ACKNOWLEDGMENT
You acknowledge that you have read this agreement in full including the LIMITED WARRANTY and LIMITATION OF LIABILITY and that you understand it and agree to be bound by its terms and conditions. You also agree that: (1) No oral or written information or advice given by ID Alarm Inc., its dealers, distributors, resellers, agents or employees shall in any way increase the scope of this agreement or its Limited Warranty, and you may not rely on any such information or advice. (2) Unless a written overriding agreement signed by you and ID Alarm Inc. exists, this Agreement is the complete and exclusive statement of agreement of ID Alarm Inc. and you relating to the subject matter, and supersedes all proposals, oral or written, and any other communications you may have had prior to purchasing this license.

14. GOVERNING LAW
These Terms and Conditions of Use shall be governed by, construed and enforced in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein. This provision shall survive the termination of your right to use this Site.

15. DISPUTE RESOLUTION
All claims, disputes or controversies (whether in contract or tort, pursuant to statute or regulation, or otherwise, and whether pre-existing, present or future) arising out of or relating to: (a) these Terms and Conditions of Use; (b) this Site; or (c) the relationship which results from these Terms and Conditions of Use (including relationships with third parties who are not party to these Terms and Conditions of Use) (collectively "Claim"), will be referred to and determined by arbitration. To the extent permitted by applicable laws, you agree to waive any right you may have to commence or participate in any class action against ID Alarm Inc. related to any Claim and, where applicable, you also agree to opt out of any class proceedings against ID Alarm Inc.

Arbitration of Claims will be conducted in such forum and pursuant to such rules as you and ID Alarm Inc. agree upon, and failing agreement will be conducted by one arbitrator pursuant to the laws and rules relating to arbitration in the Province of Ontario that are in effect on the date of the notice to arbitrate. This provision shall survive the termination of your right to use this Site.

16. LANGUAGE
It is the express wish of the parties that these Terms and Conditions of Use and all related documents be drawn up in English. C'est la volonté expresse des parties que la présente convention ainsi que tous les documents qui s'y rattachent soient rédigés en anglais. This provision shall survive the termination of your right to use this Site.
